In any organization, the role of the Head of Legal is pivotal, encompassing various responsibilities essential for the smooth functioning and protection of the company's interests. Susheela Maheshwari, the Head of Legal at Rubamin, brings a wealth of experience and determination to her role. Her journey to this position is marked by resilience and perseverance.

Born in 1974, Susheela Maheswari, born into a traditional Rajasthani family, faced societal pressures of early marriage but harbored dreams of education and independence. Despite familial constraints, she persisted in her pursuit of knowledge. Hindered by language barriers and cultural norms, her resolve was tested, yet she remained determined to carve her path. With unwavering faith and tenacity, she overcame obstacles, even resorting to hunger strikes to demand her right to education.

Through sheer determination and the support of compassionate individuals, she eventually secured admission to pursue higher studies, excelling academically despite adversities. However, the constraints persisted, culminating in an early marriage. Undeterred, she shared her aspirations with her husband, who supported her in pursuing Company Secretaryship (CS). While law was not her initial choice, circumstances led her to embark on this unexpected journey, subsequently expanding her academic pursuits to include CMA, M.Com., LLB, and two groups of CFA.  

Susheela's story is a testament to resilience and the power of unwavering determination in overcoming societal barriers and achieving personal and academic success against all odds.

In her role, she adeptly navigates legal complexities, safeguarding Rubamin's interests and ensuring organizational compliance. Let’s hear more from her in this interaction.

Guide us through your extensive professional journey in the legal realm. What were the pivotal moments that shaped your trajectory?

Throughout my career, I've had the privilege of collaborating with esteemed corporations across various sectors. From internships at GSFC and involvement in TCS's MCA21 Projects to engagements with industry giants like Welspun and Panasonic, I've gained exposure to diverse industries including Chemicals & Fertilizers, Pharma, Services, Construction, and Manufacturing.

In the legal domain, each day presents new challenges, but certain experiences stand out as transformative. While working on the MCA21 project, emphasizing public relations was paramount. As representatives of the Ministry of Corporate Affairs, we navigated intricate interactions with professionals ranging from Chartered Accountants to Advocates, honing skills in diplomacy and stress management.

Navigating the complexities of Indian laws, especially amidst frequent amendments, and elucidating these intricacies to foreign parent companies were formidable tasks. Furthermore, managing related-party transactions within a globally dispersed group posed initial challenges but provided invaluable learning opportunities.

Engaging with the Competition Commission of India (CCI) in a cartel case offered a unique and enriching experience, highlighting the intricacies of regulatory scrutiny. Each of these encounters has contributed significantly to my professional growth, equipping me with the skills and insights necessary to excel in the legal landscape.

Tell us about Rubamin. Also, talk about the various responsibilities you shoulder as the Head of Legal.

Rubamin, a Gujarat-based conglomerate established 35 years ago, boasts a turnover of approximately Rs.3000 Crores and a workforce exceeding 1000 employees. The company is pioneering investments in forward-thinking circular waste management and urban mining for strategic metals, utilizing proprietary eco-friendly technology. Notably, Rubamin is poised to unveil one of India’s largest Lithiumion-battery recycling plants.

I knew the Chairman of the Rubamin because he is on the Board of Panasonic and was aware of my work there. When I decided to shift due to relocation of Panasonic, he was instrumental to bring me in Rubamin. In my role as Head of Legal, I focus on fortifying the company's legal framework and ensuring comprehensive compliance. Beyond core legal functions such as contract management and litigation, I am actively involved in areas like Exim, Customs, and Environmental, Social, and Governance (ESG) matters.

Illuminate the most pivotal professional milestone you've encountered in your career trajectory. 

One distinct memory stands out: a pivotal moment involving a change in law and subsequent discussions with the CMD. Despite facing skepticism due to a differing interpretation presented by a senior professional, I steadfastly stood by my analysis. Eventually, my perspective was vindicated, earning recognition and praise from the CMD in front of peers. This episode underscores the significance of earning trust and influencing decisions, even in the face of initial resistance. When a superior trusts your judgment, adjusts decisions, or seeks your input, it signifies a significant achievement. However, such accomplishments aren't automatic; they demand ongoing dedication and expertise, continually proving oneself through staying updated in the field.

How do you conceptualize success in the realm of business leadership, and what principles have guided your journey to success over time?

In my view, success as a business leader hinges on several key factors. Firstly, it's essential to maintain approachability and lead by example, motivating team members through one's own actions. A crucial aspect of effective leadership involves nurturing the growth trajectory of team members, assigning tasks based on their expertise while encouraging them to step out of their comfort zones. Demonstrating unwavering support for the team, regardless of their successes or setbacks, fosters a culture of excellence.

Moreover, a proficient leader not only publicly acknowledges the team's achievements but also provides constructive feedback in private discussions, fostering continuous improvement without undermining morale.

For a Chief Legal Officer or Company Secretary, a fundamental responsibility lies in advising the Board or Managing Director on the interpretation of newly enacted laws. Additionally, it's crucial to acknowledge gaps in knowledge and request the necessary time for research when encountering unfamiliar territory. This proactive approach ensures informed decision-making and reinforces credibility in the role.

Embrace honesty, acknowledge mistakes, and communicate openly. Invest in continuous learning, step out of your comfort zone, and face challenges boldly. Dream with open eyes, follow your heart, build support, take action, and exercise patience. Prioritize family and strive to be your best self, at your own pace.
