Behind the seamless movement of global commerce lies an invisible force, the legal architecture that sustains its continuous ongoing journey. Logistics has been the backbone of digital commerce, thus, the need for robust legal and flexible governance structure has never been greater.

For enterprises a strong legal foundation ensures operational resilience, investor confidence, and sustainable scalability in an increasingly competitive ecosystem.

Navigating the legal and compliance complexities of e-Commerce logistics is Deepa Kapoor. Currently functioning as the Senior Director of Legal & Compliance at Shiprocket, Deepa is an experienced and forward-thinking professional with expertise in legal, compliance within technology-led organizations.

Deepa has developed a strong domain leadership in building resilient compliance frameworks that empower business agility. Holding a Law degree, she consistently continues to promote integrity, accountability, and purposeful leadership.

Tell us about the formative years of your life that paved your journey into the field of law.

I was raised in a family that valued academic rigor establishing a firm belief in engineering, law, or civil services. My parents enrolled me in a boarding school, which instilled in me discipline and independence. After nine formatives years, I moved to Delhi to pursue my higher education.

My curiosity and inclination for practical problem-solving and creativity found its true direction during my CS studies, where I explored corporate and allied laws.

My guiding philosophy rests on three pillars: consistency, clarity, & collaboration

Take us through your diverse professional journey and the expertise that you have developed over the years.

I started as a compliance specialist and gradually evolved into a strategic legal leader, supporting organisations through scale, transformation, and complex regulatory landscapes.

A significant turning point in my career came when I moved from traditional organisations to fast-growing digital businesses. This exposure sharpened my ability to blend legal precision with business innovation in the tech and logistics space. It also broadened my understanding of how law must evolve alongside digital products, platforms, and customer experiences.

Today, my focus is on bridging deep compliance expertise with the dynamic regulatory needs of tech-driven companies. This shift from routine compliance work to strategic, innovation-led leadership has defined my professional purpose and continues to shape the way I contribute to business growth and governance.

Introduce us to Shiprocket. What key responsibilities do you shoulder as the Senior Director – Legal?

At Shiprocket, we offer solutions that make logistics simple, efficient, and growth-driven for every e-Commerce seller. Our platform performs beyond logistics as we provide complete enablement solutions that help businesses scale effortlessly.

In my capacity of working as Senior Director, I am responsible for steering the company’s governance and regulatory strategy. I partner closely with leadership to align legal frameworks with business innovation, ensuring compliance while enabling growth. My focus is on translating complex legal frameworks into actionable strategies that empower the business rather than restrict it.

What are some major legal challenges you encounter in the e-Commerce logistics ecosystem, and how do you address them effectively?

Some of the biggest legal challenges in the e-Commerce logistics space relate to data privacy, consumer protection, and fast-changing digital rules. With the Data Protection Rules now notified, the focus is on putting the right systems in place, managing consent, handling data responsibly, and ensuring strong security.

Consumer and e-Commerce guidelines also keep evolving, especially around returns, refunds, delivery timelines, and transparency. For logistics companies, staying compliant while also giving customers a smooth experience can be challenging.

Another significant challenge is the multi-layered regulatory landscape: logistics companies must navigate transport laws, digital commerce guidelines, metrology standards, IP licensing, and state-specific operational requirements. Additionally, increasing scrutiny around ESG, competition law, and platform accountability adds further complexity.

To address these issues, I focus on building compliance early into product and operational decisions, working closely with tech and business teams, and creating practical solutions that balance innovation with regulatory expectations.

How do you ensure Shiprocket remains legally resilient while enabling innovation?

At Shiprocket, we see compliance as a key driver of innovation rather than a limitation. Legal regulatory and data protection frameworks are embedded right from the start, creating systems where governance and creativity coexist seamlessly. Keeping pace with emerging laws like the DPDP Act and RBIs digital lending rules ensures we lead with integrity and insight. We also invest in automation, governance tools, and risk-intelligence systems to make compliance seamless, scalable, and future-ready.

Looking back, which professional achievements are you most proud of? What is your success mantra?

I’ve played a key role in major fundraises, led multiple acquisitions, enabled business restructuring initiatives, strengthened board governance practices, and am now helping drive an IPO valued at ₹2,400 crores.

My mantra for success rests on 3Cs: be curious, consistent, and courageous. A zeal of wanting to learn, staying adaptable, and acting with integrity forms the foundation towards success. Focusing less on chasing titles, builds credibility and empathy, which adds value and purpose to lives.

How do you foresee India’s legal environment in the tech and e-Commerce sector evolving?

India’s legal environment for tech and e-Commerce is moving quickly as technology grows. We are now entering a phase where transparency, data protection, and accountability are becoming non-negotiable. New laws on data privacy, digital lending, and online governance mean that businesses must be more responsible in how they handle data, design products, and interact with consumers.

For companies to succeed in this changing landscape, they must stay flexible, adapt early, and build trust through honest and compliant practices. The future will belong to businesses that can balance compliance with creativity turning rules into opportunities to innovate and grow.
